Thomas M. Dawson provides representation for U.S. and non-U.S. reinsurers, insurers, brokers, and intermediaries in matters related to regulation, licensing, compliance, product development, and corporate issues.
Tom advises industry participants on a broad range of regulatory and transactional matters, including cybersecurity compliance, insurtech initiatives, and filings under the Holding Company Act. He has assisted clients in forming, acquiring, and investing in U.S. insurers, reinsurers, and intermediaries. Additionally, he counsels non-insurers on advertising, licensing, and marketing, while offering regulatory compliance guidance to service contract issuers and other specialty product providers. Recently, his work has expanded to include the development of parametric insurance products and advising insurers on emerging challenges, such as climate change risk disclosure and the use of artificial intelligence and big data.
With over 35 years of experience, Tom has supported non-U.S. insurers and reinsurers in the London Market, Europe, Bermuda, and Asia, helping them secure and maintain surplus lines and reinsurer approvals. He also identifies, monitors, and reports on relevant NAIC activities as well as state and federal legislation. In recent years, the options for regulatory status for non-U.S. reinsurers have increased, and Tom continues to represent many of them, including those that have established large U.S. reinsurance trusts. He also represents non-U.S. reinsurers that have obtained certified and/or reciprocal reinsurer status.
Since 2020, Tom has been tracking and commenting on the evolving regulations and disclosure requirements related to climate change in the U.S. and other key jurisdictions. He serves as the representative of the Insurance Transactions and Regulatory team on the Firm’s ESG Working Group.
