Peter Egan represents healthcare industry clients in mergers, acquisitions, and other complex transactions, with a focus on regulatory and tax analysis. He has significant experience in capital raising and advising on compliance with fraud and abuse laws.
Peter’s practice is divided between for-profit and nonprofit healthcare clients. For for-profit companies, he focuses on structuring transactions to comply with federal and state fraud and abuse regulations, including the Anti-Kickback Statute and Stark Law. He regularly advises management companies and providers on service arrangements and compensation models under state law.
Peter has extensive experience representing hospitals and medical centers in corporate and regulatory matters, including strategic advice on practice acquisitions and physician alignment. He is well-versed in faculty practice plans, “captive” practices, and compensation pooling arrangements.
Hospitals also rely on Peter’s team for compliance counseling, including investigating potential fraud and abuse, making disclosures to the U.S. Attorney’s Office, and preparing self-disclosures under the Stark Law.
His M&A experience includes hospital mergers, private equity transactions, and the purchase and sale of licensed facilities such as nursing homes and ambulatory surgery centers. He has also assisted clients in non-traditional capital raising, such as structuring a multi-million dollar forgivable loan from a for-profit medical school to a hospital for facility refurbishment.
